Terms of Use

Hi! We're glad you're ready to join us. But first, it's very important that we establish certain rules about the relationship between you and Fixii Inc. ("Fixii", "we" or "our") in these Terms of Use (collectively, the "Terms").

By accessing and using the Fixii application for iOS or Android (the "App") or our website (collectively, the "Services"), you agree to be bound by these Terms. If you do not agree with any part of the Terms, you may not use or access the Services. Please note that these Terms constitute a legally binding contract between you and us, so we ask that you review them carefully.

1. Who Can Use the Services

In order to build a trustworthy, safe, and lasting community, we must establish certain restrictions on who can use the Services. No person under 14 years of age is permitted to use the Services. No person under 18 years of age is permitted to add their location through the Services. If you are under 18, you confirm that you have the consent of your parent or legal guardian to accept these Terms.

2. Privacy

Since Fixii is a location-based platform, we take your privacy very seriously. Our Privacy Policy describes how we handle the information you provide when using the Services, and can be found at https://fixii.app/privacidad.

3. The License We Grant You

Subject to the Terms, Fixii grants you a worldwide, royalty-free, revocable, non-transferable, and non-exclusive license to access, use, and enjoy the Services for your personal, non-commercial, and entertainment use.

With the exception of user content, nothing in these Terms shall be construed as granting rights, title, and/or interest in the Services, which are and shall remain our exclusive property.

You agree not to attempt to download, upload, modify, sell, lease, transfer, publicly display, publicly perform, transmit, or distribute any part of the Services or the content found therein, except as expressly stated in these Terms.

At any time, we may (with or without prior notice) revoke, suspend, or cancel your access to the Services if we determine that your use does not comply with these Terms. Such suspension or cancellation shall be at our sole discretion and shall constitute a termination of these Terms on our part.

4. Use and the Rights You Grant to Fixii

You retain all rights you hold over the content you submit to the Services. Please note that you are solely responsible for the content you submit. We do not claim ownership of any content you submit through the Services and do not necessarily monitor the content found therein, so we cannot assume responsibility for such content.

By posting or submitting content to the Services, you grant us a worldwide, non-exclusive, royalty-free license to use, promote, and reproduce that content for the entire duration of our relationship with you, which you may terminate at any time by deleting your account from the App's settings page. Deleting your Fixii account constitutes a termination of these Terms on your part.

You represent and warrant that you have, or have obtained, all rights, licenses, consents, permissions, powers, and/or authorizations necessary to grant the rights described herein with respect to any content you submit or post on the Services. You agree that no content shall be subject to copyright or other proprietary rights unless you are legally authorized to submit it and grant Fixii the license described above, and you agree to indemnify us for all losses resulting from the invalidity or inaccuracy of such representation. We reserve the right to remove from the Services any content that does not comply with these Terms or our legal obligations.

You also agree that your use of the Services may result in data charges between you and your carrier, for which you are solely responsible. Additionally, you agree that from time to time we may download and install on your device updates, patches, and improvements to the Services.

5. Your Account

By creating a Fixii account, you agree that all information provided shall be accurate, complete, and up to date at all times. Failure to do so may result in the cancellation of your access to the Services. You grant Fixii the right to use your name, email, and location data while you use the Services.

6. Third-Party Rights

You are prohibited from submitting content to the Services or using them in a way that sends spam, solicits, causes harm, or harasses Fixii users; that is offensive, racist, defamatory, or discriminatory toward other individuals or groups; or that violates or infringes upon the rights of third parties, including without limitation, copyrights, trademarks, or any intellectual property rights. If you believe that any content or user behavior does not comply with these Terms, please notify us immediately at hola@fixii.app.

7. Third-Party Services

We are working to integrate Fixii with many third-party services that you already use and enjoy. Just as we have our own Terms, they have theirs as well. If you access features of a third-party service while using the Services, you agree to be bound by that third party's terms. Please note that Fixii has no control over the content, privacy policies, or practices of any third-party service. Furthermore, you agree that Fixii is not responsible for the terms of any third party and/or actions taken in connection with such terms.

Since the App is available for iOS devices through the Apple App Store, Apple Inc. (or "Apple") shall be a third-party beneficiary of these Terms and therefore has the right to enforce them. Apple is not responsible for the provision or support of these Services in any respect, and your access to the Services through an Apple-manufactured device is subject to the terms set forth in their respective terms of service.

Additionally, since the App is available for Android devices through Google Play Store, Google Inc. (or "Google") shall be a third-party beneficiary of these Terms and therefore has the right to enforce them. Google is not responsible for the provision or support of these Services in any respect, and your access to the Services through an Android-operated device is subject to the terms set forth in their respective terms of service.

8. Safety

It is important that we all contribute to keeping the Services and our community a safe place for people to express themselves. By accessing our Services, you agree that you will not:

  • Use the Services in any manner that is illegal or prohibited by these Terms.
  • Submit content containing graphic violence, hate speech, or pornography.
  • Use the location features available in the Services in an inappropriate manner.
  • Attempt to hack, upload viruses, or malicious code that may damage or impair the functionality and/or security of the Services.
  • Attempt to replicate, copy, reverse engineer, extract source code, or modify the Services in any way without our written authorization.
  • Attempt to download, copy, or duplicate any content from the Services for sharing, distributing, or using outside the Services.
  • Attempt to access Fixii's API for any reason through the use of unauthorized third-party tools or clients.
  • Make any representation of having a relationship with Fixii that falls outside the scope of these Terms, including any type of endorsement, unless otherwise indicated in a written notice from us.
  • Promote any activity that violates these Terms.

9. Limitation of Liability

By attempting to access and use the Services, you agree that in no event shall Fixii or our directors, employees, or agents be liable to you or any third party for direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including loss of profits or revenue, loss of data, or other damages arising from your use of or inability to use the Services, the content you submit to the Services, or the content of other users or third parties on the Services, even if we have been advised of the possibility of such damages.

The total liability of Fixii Inc. and/or its affiliates for all claims related to your use of or inability to use the Services is limited to the amount of $100 USD or its equivalent in your local currency. The laws of some countries or states do not allow the limitation of liability provided in this section. If such laws apply to you, some or all of the above exemptions or limitations may not apply to you, and you may have additional rights.

10. Indemnification

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our directors, officers, agents, shareholders, and employees, from any loss, damage, liability, or claim, including legal fees and expenses, brought by any third party due to or arising from your use of the Services, breach of these Terms, or violation of the rights of a third party (including, but not limited to, intellectual property rights).

11. Disclaimers

THE SERVICES PROVIDED BY FIXII INC. ARE OFFERED "AS IS" AND "AS AVAILABLE". WE DO OUR BEST, BUT WE CANNOT AND DO NOT GUARANTEE THAT ACCESS TO THE SERVICES WILL BE UNINTERRUPTED, SECURE, AND/OR ERROR-FREE AT ANY TIME. YOU AGREE THAT YOUR USE OF THE SERVICES IS AT YOUR OWN RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND THEIR USE, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, QUIET ENJOYMENT, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. BY ACCESSING OR USING THE SERVICES, YOU REPRESENT AND WARRANT THAT YOUR ACTIVITIES ARE LEGAL IN ALL JURISDICTIONS WHERE YOU ACCESS OR USE THE SERVICES.

FURTHERMORE, FIXII IS A TECHNOLOGY SERVICE PROVIDER. WE DO NOT GRANT OR OFFER YOU ANY RIGHT OR PERMISSION TO ACCESS AND/OR LISTEN TO AUDIO CONTENT THROUGH THE SERVICES.

WE DO NOT ENDORSE ANY CONTENT AND SPECIFICALLY DISCLAIM ANY LIABILITY TO ANY PERSON OR ENTITY FOR ANY LOSS, DAMAGE (WHETHER ACTUAL, CONSEQUENTIAL, PUNITIVE, OR OTHERWISE), INJURY, CLAIM, LIABILITY, OR OTHER CAUSE OF ANY KIND OR CHARACTER BASED ON OR RESULTING FROM ANY CONTENT.

12. Submissions

You acknowledge and agree that any questions, suggestions, feature requests, comments, ideas, or feedback you provide to us about the Services ("Submission" or "Submissions") are not confidential and shall become our property. We shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use of these Submissions for any lawful purpose, commercial or otherwise, without acknowledgment or compensation to you. By making a Submission, you waive all rights to such Submission and warrant that you have the right to make it.

13. Waiver and Severability

If any provision of the Terms is deemed unenforceable or invalid, such provision shall be limited and/or eliminated to the minimum extent necessary, and such invalidity shall not affect the remaining provisions or the enforceability of the Terms. Our failure to enforce any provision of these Terms at any given time does not imply a waiver of our right to do so at a later time.

14. Governing Law

If you reside in the United States or anywhere else, the validity, interpretation, construction, and enforcement of these Terms shall be governed by the laws of the State of Delaware, without giving effect to any principles of conflict of laws. If you reside in Costa Rica, Colombia, Mexico, Brazil, or any other country located in the regions commonly known as Latin America and South America, you may be subject to additional legislation, and it is recommended that you seek legal advice in your corresponding region. The law known as the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded from application to these Terms.

15. Entire Agreement

This document constitutes and contains the entire agreement and understanding between you and Fixii Inc., and supersedes all prior agreements, except as otherwise indicated in these Terms. You may not transfer or assign any of your rights or obligations under these Terms to any third party.

16. Changes

We are constantly working on adding new features, updating, optimizing, and improving the Services. This means that from time to time we will need to update or make changes to these Terms, and we reserve the right to do so. Unless the law requires otherwise, we will make sure to give you thirty (30) days' notice before publishing an updated version of the Terms so you can review them before they take effect. By continuing to use the Services after any changes to the Terms take effect, you agree to be bound by the revised Terms.
